These Terms of Service ("Terms") govern your access to and use of MartNest's products, services, and platforms, including our SaaS applications, automation tools, WhatsApp integrations, and business software solutions (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, subscribing to our services, or using any MartNest product, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

MartNest provides AI-powered business automation solutions delivered primarily through WhatsApp and web-based platforms. Our Services include:

• AI Munim – WhatsApp-based accounting and business management assistant
• AI Hospital – Intelligent appointment booking and scheduling system
• AI Camp – Event and camp registration management system
• Custom WhatsApp automation and integration solutions
• SaaS-based business tools and dashboards

3. User Accounts & Responsibilities

Users are responsible for maintaining the confidentiality of their account credentials, ensuring the accuracy and completeness of all data entered into our systems, complying with all applicable local, state, and national laws when using our Services, and notifying us immediately of any unauthorized access or security breach.

4. Subscription & Payment Terms

Certain Services may require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are handled on a case-by-case basis in accordance with our refund policy. MartNest reserves the right to change pricing with reasonable prior notice.

5. Acceptable Use Policy

You agree not to use MartNest Services to:

• Violate any applicable law or regulation
• Send spam, unsolicited messages, or bulk communications through our WhatsApp integrations
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' data
• Use our AI systems to generate misleading, fraudulent, or harmful content
• Resell or redistribute our Services without written authorization

6. WhatsApp Integration Terms

Our Services integrate with WhatsApp Business API. By using these features, you also agree to comply with WhatsApp's Business Terms of Service and Commerce Policy. MartNest is not responsible for changes to WhatsApp's platform, API availability, or policies that may affect service delivery.

7. Intellectual Property

All content, software, algorithms, designs, trademarks, and intellectual property associated with MartNest Services remain the exclusive property of MartNest. Users retain ownership of their data but grant MartNest a limited license to process such data for service delivery purposes.

8. Data Handling & Privacy

Your use of our Services is also governed by our Privacy Policy. We are committed to protecting your data and handling it in compliance with applicable Indian laws, including the Information Technology Act, 2000. For data deletion requests, please visit our Data Deletion page.

9. Service Availability & Modifications

MartNest strives to maintain 99.9% uptime but does not guarantee uninterrupted service. We reserve the right to modify, update, or discontinue any feature or service with reasonable notice. Scheduled maintenance windows will be communicated in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, MartNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our Services. Our total liability for any claim shall not exceed the amount paid by the user for the relevant service during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless MartNest, its officers, directors, and employees from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service agreement at any time with written notice. MartNest reserves the right to suspend or terminate accounts that violate these Terms. Upon termination, user data will be retained for 30 days before secure deletion, unless a longer retention period is required by law.

13. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Darbhanga, Bihar, India.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Darbhanga, Bihar, India.

15. Changes to Terms

MartNest reserves the right to update these Terms at any time. Material changes will be communicated via email or through our platform. Continued use of Services after changes constitutes acceptance of the updated Terms.
